These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Bhim Digital Inc. ("Company," "we," "us," or "our"), governing your access to and use of the BON Credit mobile application (the "App"), the website at www.boncredit.ai (the "Website"), and all related services, features, content, and functionality (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY BEFORE USING OUR SERVICES. By creating an account, accessing, or using any part of our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional terms referenced herein. If you do not agree to these Terms, you must not access or use our Services.

1. Eligibility

To use our Services, you must:

  • Be at least 18 years of age
  • Be a legal resident of the United States
  • Have a valid Social Security Number (SSN)
  • Have a valid mobile phone number capable of receiving SMS messages
  • Have the legal capacity to enter into a binding agreement
  • Not have been previously suspended or removed from the Services

By using our Services, you represent and warrant that you meet all eligibility requirements. If you are using the Services on behalf of another person, you represent that you have legal authority to bind that person to these Terms.

2. Account Registration and Security

2.1 Account Creation

To access our Services, you must create an account by providing accurate, current, and complete information, including your full legal name, mobile phone number, email address, date of birth, and a self-selected PIN. You authorize us to verify your identity through Spinwheel using your SSN and to retrieve your credit report through Array/Equifax.

2.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials, including your PIN and any biometric authentication (Face ID or fingerprint) you enable. You agree to:

  • Not share your account credentials with any other person
  • Notify us immediately of any unauthorized access to or use of your account
  • Ensure that you log out of your account at the end of each session on shared devices

You are solely responsible for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials. Contact us immediately at support@boncredit.ai if you suspect unauthorized access.

2.3 One Account Per Person

Each individual may maintain only one account. We use SSN-based verification to prevent duplicate accounts. Creating or attempting to create multiple accounts is a violation of these Terms and may result in termination of all associated accounts.

3. Description of Services

3.1 Overview

BON Credit is an AI-powered personal finance application designed to help users save money and manage their finances. Our Services include, but are not limited to:

  • Credit Monitoring: Accessing and displaying your credit report information, credit score tracking, credit utilization analysis, and credit score simulation tools.
  • AI Financial Agent: An AI-powered conversational agent that analyzes your financial data and provides personalized insights, recommendations, and alerts, including debt repayment strategies, interest cost estimates, balance transfer analysis, and subscription audits.
  • Debt Management: Tools and recommendations for managing and optimizing debt repayment, including collections resolution guidance and loan refinancing suggestions.
  • Bank and Card Account Linking: Optional linking of bank accounts and credit cards through Plaid to enable spending tracking, subscription detection, and transaction categorization.
  • Bill Payments: Facilitating credit card and bill payments through Spinwheel integration, including auto-pay setup.
  • Financial Product Offers: Displaying credit, loan, and financial product offers from third-party partners, including MoneyLion, based on your financial profile.

3.2 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of our Services at any time, with or without notice. We will make reasonable efforts to provide advance notice of material changes. We are not liable to you or any third party for any modification, suspension, or discontinuation of our Services.

4. Important Disclaimers Regarding Financial Information

THIS SECTION CONTAINS CRITICAL INFORMATION ABOUT THE NATURE OF OUR SERVICES. PLEASE READ IT CAREFULLY.

4.1 Not Financial Advice

THE SERVICES PROVIDED BY BON Credit DO NOT CONSTITUTE PROFESSIONAL FINANCIAL ADVICE, INVESTMENT ADVICE, TAX ADVICE, LEGAL ADVICE, OR CREDIT REPAIR SERVICES. Bhim Digital Inc. is not a registered investment adviser, broker-dealer, financial planner, tax preparer, credit counselor, or credit repair organization under any federal or state law.

The AI agent, recommendations, insights, calculations, and information provided through our Services are intended for general informational and educational purposes only. They are designed to help you understand your financial situation and identify potential opportunities, but they are not personalized financial advice tailored to your complete financial picture.

You should always consult with a qualified financial advisor, tax professional, or attorney before making significant financial decisions. We expressly disclaim any responsibility for financial decisions you make based on information provided through our Services.

4.2 Estimates and Approximations

Many of the dollar amounts, savings projections, interest cost calculations, and financial insights provided through our Services are estimates and approximations. Specifically:

  • Credit Report Limitations: Credit reports do not contain APR, interest rates, due dates, minimum payment amounts, income, transaction history, or spending data. Any insights we provide related to these data points are derived from estimation models based on industry averages, publicly available rate information, and other available data. These are clearly labeled as estimates.
  • Interest Rate Estimates: When we estimate interest costs or savings, we use industry-standard models and assumptions. Your actual interest rates, costs, and savings may differ materially from our estimates.
  • Credit Score Simulations: Credit score simulation results are hypothetical projections based on scoring models and should not be interpreted as guarantees of future score changes.
  • Savings Projections: Any projected savings are estimates based on the data available to us at the time. Actual results will depend on your specific financial circumstances, actions taken, and external market conditions.

4.3 Not a Credit Reporting Agency

BON Credit is not a consumer reporting agency as defined under the Fair Credit Reporting Act (FCRA). We do not furnish information to credit bureaus. We display credit information that we obtain from Equifax through Array on your behalf and at your request. If you believe there is an error in your credit report, you should dispute it directly with the relevant credit bureau (Equifax, Experian, or TransUnion) or with the creditor that reported the information.

4.4 AI-Generated Content

Our AI agent generates responses and recommendations using artificial intelligence and machine learning technology. While we strive for accuracy and usefulness, AI-generated content may occasionally contain errors, inaccuracies, or recommendations that may not be appropriate for your specific situation. You acknowledge that AI-generated content should not be relied upon as the sole basis for any financial decision.

We continuously work to improve the accuracy and reliability of our AI systems, but we do not warrant that AI-generated content will be error-free, complete, or suitable for your particular needs.

4.5 Third-Party Financial Products

When we display financial product offers from our partners (including MoneyLion), we act as a referral service only. We do not endorse, guarantee, or make any representations about the terms, conditions, suitability, or quality of any third-party financial products. If you choose to apply for or accept a third-party financial product, you enter into a separate agreement directly with that provider. We are not a party to that agreement and bear no responsibility for its terms or performance.

5. User Obligations and Acceptable Use

5.1 Accurate Information

You agree to provide accurate, current, and complete information when creating your account and using our Services. You agree to promptly update your information if it changes. Providing false, misleading, or fraudulent information is a violation of these Terms.

5.2 Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable local, state, national, or international law or regulation
  • Create multiple accounts or create an account using a false identity or another person's identity
  • Attempt to gain unauthorized access to our systems, networks, servers, or other users' accounts
  • Use automated scripts, bots, crawlers, scrapers, or other automated means to access, collect data from, or interact with our Services
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of our App or any proprietary algorithms
  • Interfere with or disrupt the integrity, security, or performance of our Services
  • Transmit any viruses, malware, or other harmful code through our Services
  • Use the Services to harass, abuse, threaten, or harm any person
  • Resell, redistribute, or commercially exploit our Services or any data obtained through them without our prior written consent
  • Use data obtained through our Services to make decisions regarding credit, employment, insurance, housing, or other eligibility determinations about any person (including yourself for the benefit of a third party)
  • Circumvent or attempt to circumvent any security measures, access controls, or usage limits we implement
  • Use the Services in any manner that could damage, disable, overburden, or impair our servers or networks

5.3 Compliance with Third-Party Terms

When using features that involve third-party services (such as Plaid for account linking or Spinwheel for payments), you agree to comply with the applicable terms and conditions of those third-party services in addition to these Terms.

6. Third-Party Services and Integrations

6.1 Plaid

If you choose to link your bank accounts or credit cards, you do so through Plaid Inc. ("Plaid"). By linking your accounts, you acknowledge and agree that (a) Plaid's Terms of Service and Privacy Policy govern Plaid's collection and use of your data; (b) you grant Plaid the right to access your financial account information on your behalf; and (c) you may revoke Plaid's access at any time through the App or at my.plaid.com.

6.2 Spinwheel

We use Spinwheel for identity verification and payment processing. When you make payments through our Services, Spinwheel processes the transaction. You acknowledge that Spinwheel's terms of service and privacy policy apply to those transactions. We are not responsible for any errors, delays, or issues arising from Spinwheel's services.

6.3 Array / Equifax

We access your credit report from Equifax through our partner Array. By creating an account, you authorize us to obtain your consumer credit report for the purpose of providing credit monitoring, financial management, and educational services. Credit report data is refreshed approximately every 20 days.

6.4 MoneyLion and Other Offer Partners

We display financial product offers from MoneyLion and other partners. These offers are provided by third parties, and we receive compensation for referrals. Clicking on an offer takes you to the third-party provider's website or application. Any financial products you obtain through these referrals are governed entirely by your agreement with the respective provider.

6.5 No Liability for Third-Party Services

We do not control, endorse, or assume responsibility for any third-party services, products, websites, or content. We are not liable for any loss, damage, or harm resulting from your use of or reliance on any third-party services accessed through our platform. Your interactions with third-party providers are solely between you and the respective provider.

7. Payments and Transactions

7.1 Bill Payments

Our Services allow you to make bill payments to your creditors through Spinwheel. When you initiate a payment, you authorize us and our payment processing partner to submit the payment on your behalf. You are solely responsible for ensuring that payment amounts are correct, that you have sufficient funds, and that payments are submitted in a timely manner.

7.2 Auto-Pay

If you enable auto-pay for any account, you authorize recurring payments according to the schedule and amounts you configure. You can modify or cancel auto-pay at any time through the App. Changes may take up to one business day to take effect. We are not responsible for payments already in processing at the time of cancellation.

7.3 Payment Processing Delays and Errors

We facilitate payment processing but do not directly process payments. Payments are subject to processing times of the payment networks and your financial institution. We are not responsible for late fees, penalties, or other charges resulting from payment processing delays, errors in payment information you provide, or insufficient funds.

7.4 Free Service

BON Credit is currently a free service. We reserve the right to introduce paid features, subscription plans, or other monetization in the future. If we do so, we will provide you with advance notice and the opportunity to accept or decline the new terms before any charges are applied. We will never charge your linked bank account or credit card without your explicit authorization.

8. Intellectual Property

8.1 Our Intellectual Property

All content, features, functionality, design, software, algorithms, AI models, trademarks, service marks, trade names, logos, and other intellectual property in or related to the Services are and shall remain the exclusive property of Bhim Digital Inc. and its licensors. The Services are protected by copyright, trademark, patent, trade secret, and other intellectual property laws of the United States and international jurisdictions.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services for your personal, non-commercial use. This license does not include the right to:

  • Modify, copy, distribute, or create derivative works of our Services or any part thereof
  • Use any data mining, robots, or similar data gathering or extraction methods
  • Download (other than page caching) or reproduce any portion of the Services
  • Use the Services or any content therein for any commercial purpose without our prior written consent

This license is automatically revoked if you violate any of these Terms.

8.3 Your Content

You retain ownership of any content you provide through the Services (such as messages to the AI agent, feedback, and communications). By providing content, you grant us a worldwide, royalty-free, non-exclusive license to use, process, and analyze that content for the purpose of providing, improving, and developing our Services. This includes using de-identified and aggregated content to train and improve our AI models.

8.4 Feedback

If you provide us with feedback, suggestions, ideas, or recommendations regarding the Services, you assign to us all rights in such feedback and agree that we are free to use it without any obligation or compensation to you.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, Bhim Digital Inc. DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT:

  • The Services will be uninterrupted, timely, secure, or error-free
  • The information, content, or recommendations provided through the Services will be accurate, reliable, complete, or current
  • Any errors or defects in the Services will be corrected
  • The Services will meet your specific requirements or expectations
  • Any financial recommendations, estimates, or projections will result in actual savings or financial improvement
  • Credit scores, credit report data, or financial data displayed will be free from errors or delays
  • Third-party services integrated with our platform will perform as expected

YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. YOU ARE SOLELY RESPONSIBLE FOR ANY FINANCIAL DECISIONS YOU MAKE BASED ON INFORMATION PROVIDED THROUGH THE SERVICES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL Bhim Digital Inc., ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

WITHOUT LIMITING THE FOREGOING, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THIS LIMITATION OF LIABILITY APPLIES TO, WITHOUT LIMITATION:

  • Financial losses resulting from reliance on AI-generated recommendations or estimates
  • Errors, inaccuracies, or omissions in credit report data or financial information displayed
  • Payment processing errors, delays, or failures through third-party providers
  • Unauthorized access to your account due to your failure to maintain credential security
  • Actions or omissions of third-party service providers (Plaid, Spinwheel, Array, MoneyLion, etc.)
  • Service interruptions, downtime, or loss of data
  • Decisions made by third-party lenders, creditors, or financial institutions

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

11. Indemnification

You agree to indemnify, defend, and hold harmless Bhim Digital Inc., its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of or access to the Services; (b) your violation of these Terms; (c) your violation of any applicable law, regulation, or third-party right; (d) any content you provide through the Services; (e) your financial decisions made based on information provided through the Services; or (f) any dispute between you and a third-party service provider accessed through our platform.

12. Dispute Resolution

12.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at support@boncredit.ai to attempt to resolve the dispute informally. We will try to resolve your concern within 30 days of receiving your written notice.

12.2 Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

If we cannot resolve a dispute informally, you and Bhim Digital Inc. agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services (including the validity, enforceability, or scope of this arbitration provision) shall be resolved exclusively through final and binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in a court of law.

The arbitration shall be conducted in English by a single arbitrator selected in accordance with the AAA's rules. The arbitration may be conducted in person, by telephone, by videoconference, or based on written submissions, as determined by the arbitrator. The arbitrator's award shall be binding and may be entered as a judgment in any court of competent jurisdiction.

12.3 Class Action Waiver

YOU AND Bhim Digital Inc. AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR CONSOLIDATED ACTION. The arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of representative or class proceeding.

12.4 Exceptions to Arbitration

Notwithstanding the above, either party may (a) bring an individual action in small claims court for disputes within the court's jurisdictional limits; or (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights.

12.5 Opt-Out

You may opt out of the arbitration and class action waiver provisions by sending written notice to support@boncredit.ai within 30 days of first accepting these Terms. Your notice must include your full name, account email address, and a clear statement that you wish to opt out of arbitration. If you opt out, the Governing Law and Jurisdiction provisions in Section 13 will apply.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. To the extent that arbitration does not apply, you agree to submit to the exclusive personal jurisdiction of the federal and state courts located in the State of Delaware for any disputes arising out of or relating to these Terms or the Services.

14. Termination

14.1 Termination by You

You may terminate your account at any time by contacting us at support@boncredit.ai. Upon termination, your right to use the Services will immediately cease. We will process your account deletion in accordance with our Privacy Policy and applicable data retention requirements.

14.2 Termination by Us

We may suspend or terminate your account and access to the Services at any time, with or without cause, and with or without notice, including if we reasonably believe that:

  • You have violated these Terms or any applicable law
  • Your account has been used for fraudulent or illegal activity
  • You have provided false or misleading information
  • Continued provision of Services to you is no longer commercially viable
  • We are required to do so by law or a legal order

14.3 Effect of Termination

Upon termination of your account, regardless of the reason: (a) your license to use the Services is immediately revoked; (b) we may delete your account data in accordance with our Privacy Policy; (c) any pending payments in process will be completed or cancelled as appropriate; (d) Sections 4, 8, 9, 10, 11, 12, 13, 15.6, and 17 of these Terms will survive termination.

15. Electronic Communications, SMS/Text Messaging, and Consent

15.1 Electronic Communications Consent

By creating an account, you consent to receive electronic communications from us, including emails, in-app messages, push notifications, and SMS/text messages. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

15.2 SMS/Text Message Consent (TCPA Disclosure)

By providing your mobile phone number during account registration and using our Services, you expressly consent to receive SMS and text messages from Bhim Digital Inc. (doing business as BON Credit) at the mobile phone number you provided. This consent is given voluntarily and is not a condition of purchasing any goods or services, although it is required to use the Services since phone-based OTP verification is part of account creation and security.

Types of SMS/text messages you may receive include:

  • Account Verification and Security: One-time passwords (OTP) for login, account verification codes, suspicious activity alerts, and password/PIN reset codes. These messages are essential for the security and operation of your account.
  • Transactional Alerts: Payment confirmations, auto-pay notifications, payment reminders, bill due date alerts, and account status updates.
  • Financial Insights and Notifications: Credit score change alerts, proactive financial recommendations from the AI agent, savings opportunity notifications, and credit report updates.
  • Service Communications: Service updates, maintenance notices, Terms or Privacy Policy changes, and customer support responses.
  • Promotional Messages: Information about new features, referral programs, partner offers, and other marketing communications. You may opt out of promotional messages at any time (see Section 15.4 below).

15.3 Message Frequency and Charges

Message frequency varies based on your account activity and notification preferences. You may receive multiple messages per day for transactional and security purposes (such as OTP codes and payment confirmations). Financial insight notifications are typically sent a few times per week. Promotional messages will not exceed 4 messages per month.

Message and data rates may apply. Bhim Digital Inc. does not charge you for SMS messages we send, but your mobile carrier's standard messaging rates and data charges apply. Check with your carrier for details about your plan. You are solely responsible for any charges from your mobile carrier related to SMS messages.

15.4 Opt-Out of SMS/Text Messages

You may opt out of receiving non-essential SMS/text messages at any time by: (a) replying STOP to any text message you receive from us; (b) adjusting your notification preferences in the App settings; or (c) contacting us at support@boncredit.ai.

Important: You cannot opt out of security and account verification messages (such as OTP codes) while your account remains active, as these are required for the secure operation of your account. If you wish to stop receiving all messages, you may close your account by contacting us at support@boncredit.ai.

After sending STOP, you will receive a single confirmation message. If you wish to resume receiving messages, reply START or re-enable notifications in the App settings. For help or support regarding text messages, reply HELP or contact us at support@boncredit.ai.

15.5 SMS Program Details

Program Name: BON Credit Alerts

Program Sponsor: Bhim Digital Inc.

Supported Carriers: Major US carriers including AT&T, Verizon, T-Mobile, Sprint, and others. Carrier support may vary. Messages may not be deliverable to all carriers or in all areas.

T-Mobile: Bhim Digital Inc. and T-Mobile are not responsible for delayed or undelivered messages.

By consenting to receive text messages, you confirm that: (a) you are the account holder of the mobile phone number provided or have the account holder's authorization; (b) you are 18 years of age or older; (c) you understand that consent is not required as a condition of purchase; and (d) you agree to these SMS terms, our Privacy Policy, and our Terms and Conditions.

15.6 Telephone Consumer Protection Act (TCPA) Notice

By providing your phone number and using our Services, you provide your prior express written consent under the Telephone Consumer Protection Act (47 U.S.C. Section 227) and applicable state laws to receive calls and text messages, including those made using an automatic telephone dialing system or prerecorded/artificial voice, from or on behalf of Bhim Digital Inc. at the phone number you provide. This consent applies to transactional, informational, and, where separately opted in, promotional messages. You may revoke this consent at any time as described in Section 15.4 above.

You are not required to consent to receive automated or prerecorded messages as a condition of using our Services or purchasing any goods or services. However, certain core features of the Services (such as OTP-based account verification) require SMS delivery and will not function without your phone number.

15.7 Push Notifications

We may also send push notifications to your mobile device if you have enabled them. Push notifications may include financial alerts, AI agent recommendations, payment reminders, and service updates. You can manage push notification preferences through your device settings or the App settings at any time.

16. Referral Program

We may offer a referral program that rewards users for referring new users to the Services. If a referral program is active, the following terms apply:

  • Referral bonuses are subject to program-specific terms and limits, including a maximum cap per user
  • Referred users must create a valid account and meet eligibility requirements
  • We reserve the right to withhold or revoke bonuses for fraudulent, abusive, or duplicate referrals
  • Referral bonuses may be subject to applicable tax reporting requirements (IRS Form 1099 for amounts exceeding applicable thresholds)
  • We may modify or discontinue the referral program at any time

17. General Provisions

17.1 Entire Agreement

These Terms, together with our Privacy Policy and any other terms or policies referenced herein, constitute the entire agreement between you and us regarding the Services and supersede all prior or contemporaneous agreements, representations, warranties, and understandings.

17.2 Severability
